Acceptance of Terms

Description of Service

1. 1. Loree Design: Loree Design is an educational SaaS product that offers educators an intuitive interface and a variety of visual design tools to create captivating and customizable course layouts. With features like template creation and interactive elements, Loree Design allows for streamlined course development and the creation of engaging learning experiences for students.
   2. Crane Archive: Crane Archive is a robust educational SaaS product designed to securely store and host legacy LMS course content and student data in a viewable interface. It offers a comprehensive platform for archiving and retaining course materials, including valuable student data, ensuring compliance with retention policies and seamless access to important educational resources.
   3. Crane Migration: Crane Migration is a custom solution service offered by SoaringEd, Inc. to migrate content from one Learning Management System (LMS) to another.
   4. Falcon Course Build: Falcon Course Build is a service provided by SoaringEd, Inc. that enables the creation of custom courses using SoaringEd, Inc. as the design professional.
   5. Canary Create: Canary Create is a custom LTI and development solution service provided by SoaringEd, Inc.
   6. Pelican Consulting: Pelican Consulting is a consulting service offered by SoaringEd, Inc.

User Accounts

1. 1. Registration: To access and use the Service, you must create an account. You agree to provide accurate and complete information during the registration process.
   2. Account Security: You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use or breach of security.
   3. Account Termination: SoaringEd, Inc. reserves the right to terminate or suspend your account at any time, with or without cause.

User Obligations

1. 1. Proper Use: You agree to use the Service solely for educational purposes and in compliance with applicable laws and regulations.
   2. User Content: You are solely responsible for any content you upload, submit, or transmit through the Service. You retain ownership of your content, but grant SoaringEd, Inc. a non-exclusive, worldwide license to use, modify, reproduce, and distribute the content for the purpose of providing the Service.
   3. Prohibited Actions: You agree not to engage in any actions that may harm the Service or its users, including but not limited to hacking, distributing malware, or interfering with the Service’s infrastructure.

Intellectual Property

1. 1. Service Ownership: The Service and all associated intellectual property rights belong to SoaringEd, Inc. You agree not to reproduce, modify, or distribute the Service without SoaringEd, Inc.’s written consent.
   2. User Content Ownership: You retain ownership of the content you create using the Service, subject to the license granted to SoaringEd, Inc. for the purpose of providing the Service.

Limitation of Liability

To the maximum extent permitted by law, SoaringEd, Inc. shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or relating to the use or inability to use the Service, even if advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold SoaringEd, Inc. and its affiliates, employees, and agents harmless from any claims, losses, damages, liabilities, or expenses arising out of or relating to your use of the Service or violation of this Agreement.

Modification and Termination

SoaringEd, Inc. reserves the right to modify, suspend, or terminate the Service at any time without prior notice. SoaringEd, Inc. may also modify this Agreement, and the updated version will be effective upon posting on our website.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, United States. Any legal action arising out of or relating to this Agreement shall be filed and adjudicated in the courts of New Jersey.

Entire Agreement

This Agreement constitutes the entire agreement between you and SoaringEd, Inc., superseding any prior or contemporaneous agreements, communications, or understandings.
